These terms govern your use of Meeting-Ops ("Meeting-Ops" or "the app"), provided by Magic Unicorn Unconventional Technology & Stuff Inc. ("Magic Unicorn", "we", "us"). By using the app, you agree to these terms.
Meeting-Ops records, transcribes, and summarizes meetings. By default this runs entirely on your device. You may optionally connect the app to Unicorn Commander's hosted cloud or to a server you host yourself; doing so is governed by these terms and, for the hosted cloud, any additional terms presented at sign-up.
You must be at least 18 years old to create an account, purchase a subscription, or otherwise enter into these Terms. If you are under 18, you may use the free on-device features of Meeting-Ops only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use. Meeting-Ops is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If you are in the European Economic Area, the United Kingdom, or Switzerland, you must be at least the age of digital consent in your country, which ranges from 13 to 16 depending on the jurisdiction, and paid subscriptions still require you to be at least 18. You represent that you meet these requirements.
Meeting-Ops offers a free tier that runs entirely on your device, and paid hosted-cloud tiers. The free on-device tier is provided free of charge. The "Subscriptions & billing" and "Refunds & cancellation" sections below apply only to paid hosted-cloud subscriptions; they do not apply to the free on-device tier or to a server you host yourself.
If you connect Meeting-Ops to Unicorn Commander's hosted cloud, paid subscriptions are offered on a monthly or annual basis and auto-renew at the then-current rate at the end of each billing period unless cancelled before renewal. Before your first charge, we present the subscription price, the billing interval, the automatic-renewal terms, and how to cancel, and we obtain your affirmative agreement to those terms at checkout. We will provide at least 30 days advance notice of any price increase, and the new price applies to your next renewal. Payments are processed by Stripe, Inc. and are subject to Stripe's terms. Taxes are your responsibility unless we are required to collect them.
For paid hosted-cloud subscriptions we offer the following limited refunds:
You may cancel your subscription at any time through the Stripe Customer Portal, the same way you subscribed, or by emailing [email protected]. Cancellation takes effect at the end of the then-current billing period, and you keep access until then. On cancellation, account data is retained for thirty (30) days to allow reactivation, then permanently deleted from primary systems; backups and audit logs may persist longer where required for legal, security, or disaster-recovery purposes.
You are responsible for how you use the app, including recording meetings. You must comply with all applicable laws, including obtaining the consent of participants to record where required. You are responsible for the content you record and for safeguarding data stored on your device or your own server.
Do not use the app for any unlawful purpose, to infringe others' rights, or to attempt to disrupt or reverse-engineer the service except as permitted by law. Do not record, transcribe, or otherwise process the personal data of a child, meaning a person under 13 under COPPA, or under the applicable age of digital consent (13 to 16) in the European Economic Area, as a participant in or subject of a meeting without verifiable parental or guardian consent.
The app is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that transcripts or summaries are accurate or that the app will be uninterrupted or error-free.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the app. Our total liability for any claim relating to the paid service is limited to the amount you paid us for the service in the twelve (12) months before the claim.
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules.
Mandatory binding arbitration. Except for claims that qualify for small-claims court, you and Magic Unicorn agree that any dispute, claim, or controversy arising out of or relating to these Terms or Meeting-Ops will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration is Charleston County, South Carolina, and judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and Magic Unicorn agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Charleston County, South Carolina. Nothing in these Terms waives any non-waivable right you have under the consumer-protection laws of your home state or country; where those laws conflict with this section, they control to the extent required.
We may update these terms from time to time. For material changes to the paid subscription terms we will give notice as described in "Subscriptions & billing." Continued use of the app after changes take effect constitutes acceptance of the revised terms.
